Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the QualiPeak platform, website, and related services (“Services”) provided by QualiPeak. By signing up, accessing, or using the Services, you agree to these Terms. If you are agreeing on behalf of an organization, you represent that you have authority to bind that organization.

1. Use of the Services

You may use the Services only in compliance with these Terms and applicable law. You are responsible for (a) all activity under your account, (b) the content and data you collect and process through the Services, and (c) ensuring that your use (including forms and collection practices) complies with privacy and other laws applicable to you and your end users.

2. Accounts and administrators

Access to the QualiPeak platform is admin-controlled; there is no public self-signup. You are responsible for maintaining the security of account credentials and for all actions taken via your account. You must notify us promptly of any unauthorized access.

3. Acceptable use

You may not use the Services to (a) violate any law or third-party rights; (b) distribute malware or attempt to gain unauthorized access to our or others’ systems; (c) send unsolicited messages or run abusive campaigns; or (d) resell or sublicense the Services except as we expressly permit. We may suspend or terminate access for breach of these Terms.

4. Data and privacy

You retain ownership of the data you submit and collect through the Services. Our use of that data is governed by our Privacy Policy and, where applicable, a data processing agreement. You grant us the limited rights necessary to operate, improve, and secure the Services.

5. Intellectual property

We own the Services, our brand, and our technology. We grant you a limited, non-exclusive, non-transferable license to use the Services during the term of your subscription. You may not copy, modify, or reverse-engineer our software or create derivative works except as we explicitly allow.

6. Confidentiality

Each party will keep the other’s confidential information (including pricing and non-public technical or business information) confidential and use it only to perform under these Terms or as otherwise permitted. This obligation survives termination.

7. Limitation of liability

To the maximum extent permitted by law, (a) the Services are provided “as is” and we disclaim all warranties except those we cannot disclaim by law; (b) our total liability for any claims arising from or related to these Terms or the Services will not exceed the fees you paid to us in the twelve months before the claim; and (c) we are not liable for indirect, incidental, special, or consequential damages.

8. Indemnity

You will indemnify and hold QualiPeak harmless from claims, damages, and costs (including reasonable legal fees) arising from your use of the Services, your content or data, or your breach of these Terms.

9. Term and termination

Your subscription runs for the term in your order. We may terminate or suspend your access for breach, non-payment, or as required by law. On termination, your right to use the Services ends. We will allow you to export your data for a reasonable period as described in our data policy.

10. Governing law and disputes

These Terms are governed by the laws of the jurisdiction specified in your order (or, if none, the jurisdiction of QualiPeak’s principal place of business). Disputes will be resolved in the courts of that jurisdiction, unless we agree otherwise.

11. Changes

We may update these Terms from time to time. We will post the revised Terms and, for material changes affecting existing customers, provide notice as required by your agreement or by law. Continued use after the effective date constitutes acceptance.
